Article II
Purpose
CTUA is devoted to serving the Colorado tennis community by applying and enforcing the United States Tennis Association (USTA) rules of tennis for the enjoyment of its patrons (sponsors, players and spectators) by 1) encouraging and improving fair and impartial tennis officiating, and 2) training and certifying members in accordance with USTA standards and procedures.
Article III
Affiliation
CTUA is a Colorado organization with its principal activities and jurisdiction within the greater Colorado Tennis Association area. CTUA is affiliated with the USTA through the Intermountain Tennis Association (ITA) and the Colorado Tennis Association (CTA).
Article IV
Members and Membership
CTUA shall have two (2) classes of membership: 1) Voting; 2) Non-voting. Acceptance of members shall be as provided in the By-Laws.
Article V
Directors and Officers
The Board of Directors of CTUA, herein referred to as “The Board” shall be seven (7) members elected by the membership. At least one member of The Board shall be a representative of Southern Colorado. The Directors shall elect their own officers. The officers of CTUA shall be a President, a Vice-President, a Secretary, and a Treasurer. These officers plus three (3) Directors shall constitute the Board of Directors.
Article VI
Committees
The Affairs of CTUA, including contract negotiations and officiating assignments, shall be managed by the Board.
Standing committees may be created by a resolution of the Board; AD HOC committees may be appointed by the President with Board approval.
Article VII
Meetings
The Annual Meeting and special meetings of CTUA shall be held as provided in the By-Laws.
Article VIII
Amendments
Amendments to this constitution require a two-thirds (2/3) affirmative vote of the membership present and voting in person at any regular meeting of CTUA, or at any special meeting called for the purpose of considering the amendment, provided that written notice of the amendment shall be mailed to each member in good standing at least fourteen (14) days prior to such meeting.
Any member wishing to amend the Constitution must submit in writing to the CTUA Board their proposed amendment for consideration. If necessary, the board will submit the amendment to the Constitution and Bylaws Committee for review and recommendation to the Board.
